Exit Suspension over Disputes: What Investors Must Know

Plenty of investors first learn they are blocked from leaving when they are already standing at airport control — the most expensive and most passive moment to find out. The exit suspension machinery in fact follows identifiable rules; understanding them early lets a company check its exposure and clear a block before a trip collapses.

The cases where a foreigner may not yet exit

Article 28 of the Law on Entry, Exit, Transit and Residence of Foreigners in Vietnam, as amended, lists when a foreigner is not yet permitted to exit: an administrative penalty decision remains unenforced; the person is a defendant in a civil, commercial, economic or labour dispute, or is otherwise involved in such a case; a civil or economic judgment or decision of a court remains to be enforced against them; tax obligations are incomplete; and grounds of national defence, security or disease control apply.

Alongside this immigration-law mechanism, a court hearing a case may impose an interim emergency measure prohibiting exit against an obligated person under the 2015 Civil Procedure Code, where departure would prejudice the handling of the case or enforcement. The two mechanisms differ in issuing authority and in how they are lifted, so the first task when stopped is to identify precisely where the order came from.

Company tax debts and the legal representative personally

For an investor who also serves as legal representative of the Vietnamese company, the biggest exit risk usually comes not from litigation but from the company’s tax arrears. The Law on Tax Administration 108/2025/QH15 maintains exit suspension for an individual who is the legal representative of a taxpayer under coercive enforcement of a tax administration decision with obligations still outstanding. The tax authority notifies the suspension to the immigration authority for execution at the border.

The common confusion is about whose name the order follows: it attaches to the legal representative role, not to shareholding as such. An investor who only contributes capital and never holds the representative title does not automatically inherit an exit block from the company’s tax debt — though they can still be blocked personally as a defendant or obligated party in a specific case. Conversely, a former representative may still be examined for liabilities arising during their tenure when the tax authority builds the file.

Checking exposure in advance and getting the block lifted

There is no public self-service portal that fully reveals a person’s exit status; the prudent route is proactive review: reconcile the company’s tax position with its managing tax office, scan pending disputes for interim-measure risk, and confirm with the immigration authority through counsel or the sponsor whenever warning signs appear. Do not wait for the airport counter to deliver the news.

Removal always runs through the issuing authority: settle the tax obligation, or obtain the tax office’s acceptance of a handling plan, so it issues the notice ending the suspension; in a civil dispute, ask the court to cancel the interim measure once security has been posted, a settlement reached, or the obligation performed. Once the termination document exists, verify that the data has actually been updated into the immigration system before rebooking travel.

Frequently Asked Questions

When can exit be suspended?
A foreigner may not yet exit while an administrative penalty is unenforced, while they are a defendant or obligated party in a civil, commercial, economic or labour dispute, while a court judgment against them is unenforced, or while tax obligations remain incomplete — Article 28 of the foreigners’ entry and residence law. A court may additionally prohibit exit as an interim emergency measure in a pending case.

What about tax debts?
Yes, they can block you. An individual who is the legal representative of an enterprise under coercive tax enforcement with outstanding obligations is subject to exit suspension under the Law on Tax Administration 108/2025/QH15. The block follows the representative role; a shareholder who never held that title is not automatically blocked by the company’s tax debt.

Can a dispute stop me leaving?
Yes. If the investor is a defendant or an obligated party in a pending civil, commercial or labour case, the court may impose an interim exit ban; being a defendant is itself also a ground for not-yet-permitted exit under immigration law. The block ends only when the case resolves or the court cancels the measure.

How is a block lifted?
Through the authority that issued it: complete the tax obligation so the tax office notifies the end of the suspension, or perform the obligation, post security or settle so the court cancels its interim measure. After the termination document is issued, confirm the record has been synchronised to the immigration authority before travelling.
