Taking JV Disputes to SIAC/HKIAC Instead of VIAC: Is It Allowed?

Many foreign investors default to SIAC or HKIAC in the JV contract out of familiarity and only afterwards ask Vietnamese counsel whether the clause “works”. It does — Vietnamese law permits choosing a foreign arbitral institution — but the price of the choice sits at the very end: to be enforced in Vietnam the award must pass court recognition, where a non-trivial share of foreign awards have historically been refused or annulled for defects that disciplined drafting at the start would have avoided entirely.

Validity: the law allows it, the clause decides

The Law on Commercial Arbitration 54/2010/QH12 lets parties agree to a foreign arbitral institution, a natural fit for foreign-element disputes such as an equity JV. The arbitration agreement must be in writing and precise: the institution, the rules, the seat, the language, the law governing the contract and the number of arbitrators. A vague clause — “disputes resolved by arbitration in Singapore” — naming neither institution nor rules is the seed of a jurisdictional fight, the kind that burns a year before the merits are ever touched.

Distinguish the law of the arbitration agreement from the law of the contract: most shareholder disputes inside a Vietnamese JV remain governed mandatorily by Vietnamese company law for internal corporate relations, even if the contract picks foreign law for its commercial obligations. A tribunal in Singapore or Hong Kong applying Vietnamese company law is routine practice — which means the “escape Vietnamese law” advantage many expect from foreign arbitration does not, in the corporate-governance slice, actually exist.

Recognition and enforcement in Vietnam: the Article 459 gate

A SIAC or HKIAC award does not enforce itself in Vietnam: the winner files for recognition and enforcement at the provincial people court where the loser has assets or its seat, under the Civil Procedure Code 92/2015/QH13 and the 1958 New York Convention, to which Vietnam has been party since 1995. The court does not retry the merits, but Article 459 of the Civil Procedure Code allows refusal where the arbitration agreement is invalid, a party was not duly notified of the appointment of arbitrators or the proceedings, the award exceeds the scope of the agreement, or recognition would offend the basic principles of Vietnamese law.

That last ground — “basic principles” — is where Vietnamese practice concentrates its risk, particularly for awards touching corporate governance decisions, business registration changes or land assets, all matters where Vietnamese state bodies must still take follow-on administrative action. The lesson is not to avoid foreign arbitration but to draft with discipline: watertight service provisions, a dispute scope that does not spill into matters reserved to Vietnamese courts and registrars, and an enforcement map — where the loser assets actually sit is the question that should choose the forum.

Not every JV dispute is arbitrable

Disputes between shareholders, and between shareholders and the company, over contractual obligations are arbitration home turf. Several matters are out of reach: registering member or capital changes is an administrative act — a tribunal can declare who the lawful shareholder is, but the registrar still needs a compliant file to record it; corporate bankruptcy belongs to the courts under the Law on Recovery and Bankruptcy 142/2025/QH15; and land use right disputes in Vietnam carry their own jurisdictional layers. A JV arbitration clause therefore needs a fallback map: what goes to arbitration, what must go to court or administrative process, and a coordination mechanism so the two tracks do not produce conflicting outcomes.

On cost, SIAC and HKIAC fees scale with the amount in dispute plus arbitrator fees by the hour or schedule — materially above VIAC for the same case, before two-country counsel fees and translation. For mid-value disputes with enforcement assets in Vietnam, VIAC under its 2026 Rules (effective 01 July 2026), with foreign arbitrators on its list and English as the language, is an option many JVs are weighing again — the final call should rest on where enforcement assets sit and on procedural trust, not on the drafting side habit.

Frequently Asked Questions

1. Is a foreign arbitration clause in a JV contract valid?

Yes. The Law on Commercial Arbitration 54/2010/QH12 permits parties to choose a foreign arbitral institution, and a written clause that clearly identifies the institution, rules, seat and language will be respected. The validity risks sit in vague clauses that fail to identify the institution, and in dispute content reserved to Vietnamese authorities — not in choosing SIAC or HKIAC as such.

2. How are SIAC or HKIAC awards recognised in Vietnam?

The winner applies to the provincial people court where the loser is seated or holds assets, under the Civil Procedure Code and the 1958 New York Convention. The court does not review the merits but may refuse recognition on the Article 459 grounds — invalid arbitration agreement, defective procedural notice, award exceeding the submission scope, or conflict with the basic principles of Vietnamese law. A recognised award enforces like a Vietnamese court judgment.

3. Are internal company disputes arbitrable?

Contractual disputes among shareholders and between shareholders and the company — stake sales, shareholders agreement breaches, compensation — are arbitrable where an arbitration agreement exists. Administrative matters are not: recording member or capital changes belongs to the business registration authority, bankruptcy to the courts, and land carries its own jurisdictional layers. A sound clause routes the two groups expressly.

4. What does SIAC arbitration of a JV dispute roughly cost?

There is no fixed figure: administrative fees plus arbitrator fees scale with the amount in dispute under the SIAC schedule, on top of counsel in two countries, translation and valuation experts — overall materially above VIAC for the same value. Before choosing the forum, budget both routes and map them against enforcement assets: the cheapest award is the one that cannot be enforced nowhere.
