Transferring a Project That Has Investment Policy Approval: Procedures

A project already holding policy approval is the most valuable asset class in the project-transfer market — and the class with its own procedural layer. The buyer files no fresh approval, but changing the investor of a project approved in a named investor name must pass review by the level that approved it, alongside an IRC adjustment recording the new owner. Skip that layer and a signed deal still cannot put the project into the buyer name.

How the buyer succeeds to the approval

The policy approval attaches to the project and usually records the investor implementing it at approval time. When the whole project is transferred, the approval content does not automatically travel to the buyer like a separable intangible asset: the investment registration authority submits the investor change for the approved project to the competent level for consideration, and only once the change is accepted does the buyer become the lawful investor of the project with the full approved framework of objectives, scale and schedule. Partial transfers are more complex: the carved-out part must itself be a recordable project, and both the transferred part and the retained part need corresponding paper adjustments.

The transferee conditions are the substantive gate: the buyer must satisfy the investment conditions applying to the project — foreign-investor and market-access conditions where the project sits in a restricted field, sector conditions for real-estate, energy or conditional-line projects, and financial capacity proportionate to project scale. A buyer failing those conditions sees the investor-change file refused even though the civil contract between the parties is perfectly valid.

The procedural sequence by paper layer

Layer one — the transaction: the parties sign a project transfer agreement (or a framework agreement with the condition precedent of authority acceptance of the investor change), priced on the project real legal status and schedule. Layer two — approval and registration: file to adjust the Investment Registration Certificate recording the new investor, with the investor-change part of an approved project submitted by the registration authority to the approving level for consideration; settle financial obligations arisen up to the transfer as required. Layer three — project-attached papers: transfer or amend the land lease contract, land-use-right certificate, construction permits, sector licences and the project customer and partner contracts.

The safe payment sequence for this deal type is deposit — conditional contract — investor-change acceptance and IRC adjustment — then main price payment and handover. Paying the full price before the authority considers the investor change leaves the buyer holding refusal risk with no leverage left.

The real-world blockers: seller schedule and hanging obligations

The authority reviewing an investor change looks at the project as it stands: where the project is seriously behind schedule, carries inspection minutes concluding violations, or owes land financial obligations (land levy, land rent, escrow), the change file is commonly held until the issues are resolved or the buyer commits to inherit and clear them on an accepted roadmap. Sellers should therefore clean the project before marketing it: align the schedule with reality through adjustment, complete due land obligations, and close open handling minutes.

On tax, transfer income bears corporate income tax as analysed at transaction level; the approval-specific point is valuation: the approval itself, the approved planning and the remaining term are the project largest intangible assets, while a dead schedule and revocation risk are direct deductions. The parties should record in the contract the allocation of price among land, assets on land and the project legal value, so tax authorities and later auditors have a consistent basis.

Transferring an approved project is buying a legal position the State has already decided. The deal truly closes only when three layers complete together: the contract, the investor-change acceptance, and every paper attached to the project. This draft is pending review by the QA Council.

Frequently asked questions

Selling an approved project — must the buyer apply again?

No fresh approval from scratch, but the competent authority must accept the change of investor for that project, with an IRC adjustment recording the buyer as investor. The original policy approval remains effective for the project; what changes is the implementing subject. If the buyer fails the project investment conditions (market access, sector conditions, financial capacity), the change can be refused.

What tax applies when transferring an investment project?

The transferor income from the transaction is subject to corporate income tax under CIT Law 67/2025/QH15 on the difference between the transfer price and legitimate costs. A foreign transferor with no declaring presence in Vietnam goes through withholding and declaration mechanics via the Vietnamese counterparty. Land financial obligations and paper-transfer fees for the specific deal structure must also be checked.

Can the policy approval itself be transferred to the buyer?

The approval attaches to the project; it is not the investor freely tradable private asset. It travels with the project to the buyer through the investor-change procedure considered by the approving authority and the IRC adjustment — not through the parties merely writing in their contract that it has been transferred. The civil contract creates claims between the parties; the investor position before the State changes only when the administrative procedure completes.

How is an unimplemented project valued?

Value sits in four components: clean and complete land legality; the policy approval together with approved planning; milestones and procedures actually completed; and the project remaining operating term. Deduct: outstanding land financial obligations, remaining site-clearance costs, and a risk charge for a schedule already missed or termination exposure. A paper project with a dead schedule can be valued negatively however good the land location.

Can part of an approved project be transferred?

Yes, where the transferred part itself constitutes a project or a project part recordable independently as to land, objectives and schedule. Both sides must adjust papers: the original project is adjusted down by the carved-out part, and the carved-out part is recorded for the new investor. This structure is more complex than a whole-project transfer and usually needs a pre-discussion with the investment registration authority on separation feasibility.
