Actual Timelines at the Business Registration Office: Statutory Days vs Reality, and Where Delays Happen

Signing business registration documents (illustrative)

Scenario: a Korean investor sets up an electronics-components distribution company in Ho Chi Minh City. The online business registration dossier is returned twice by the Business Registration Office: first because the company name was confusingly similar to an already-registered enterprise, then because the registered business lines did not match the actual business activity. What was planned as a “3-day licence” took nearly three weeks. This is a familiar pattern: the Business Registration Office is fast on paper, but foreign investors’ dossiers routinely stall on seemingly minor errors.

What does the Business Registration Office do?

The Business Registration Office is the provincial-level business registration authority, currently under the Department of Finance. It receives enterprise formation dossiers, processes changes to registered contents, and issues the Enterprise Registration Certificate (ERC). The current framework comprises Law No. 59/2020/QH14 on Enterprises (Article 26 on registration dossiers, Article 27 on issuance of the ERC) and Decree No. 168/2025/ND-CP (dated 30 June 2025, effective 1 July 2025), which replaced the expired Decree No. 01/2021/ND-CP.

Investors should remember: the Office only handles the legal “shell” — name, address, capital, legal representative, registered business lines. Sector-specific business conditions (sub-licences) belong to specialised agencies, not the Business Registration Office.

The rules: how many days does the law allow?

Under Article 32 of Decree No. 168/2025/ND-CP, within 03 working days from receipt of the dossier, the business registration authority examines its validity and issues the Enterprise Registration Certificate where all conditions are met. Where the dossier is invalid, the authority notifies in writing the contents requiring amendment or supplementation; the enterprise has 60 days to complete the dossier from the notification date, after which the dossier is cancelled. This is among the shortest statutory timelines in the entire FDI company formation chain.

On fees: under Circular No. 64/2025/TT-BTC, the business registration fee is reduced to VND 25,000 per filing from 1 July 2025 through 31 December 2026 (the ordinary VND 50,000 under Circular No. 47/2019/TT-BTC), plus VND 100,000 for publication of registration contents. Online filings are exempt from both fees.

Reality: how long does it take, and where does it stall?

In practice (observed durations, not legal rules): simple domestic dossiers routinely meet the 3-working-day mark. Foreign-invested dossiers typically take 5–10 working days because they go through one or two amendment rounds. Each returned dossier restarts the 3-day clock from zero.

Four bottlenecks specific to the Business Registration Office:

First, business line codes. The most common foreign-investor error. Vietnam’s VSIC system requires 4-digit codes; many dossiers list generic codes (“general wholesale”) while the real activity is conditional distribution, or list conditional business lines without satisfying market-access conditions. The damage does not stop at a returned dossier — wrong codes also stall the later IRC application and sub-licences.

Second, the enterprise name. Names identical or confusingly similar to already-registered enterprises nationwide are rejected. Foreign investors often pick a literal Vietnamese translation without checking the National Business Registration Portal first, then must rename and re-sign the entire dossier.

Third, the head-office address. Addresses in residential apartment buildings, non-existent addresses, or virtual offices without lawful use rights are rejected. Even where the dossier passes, a “ghost” address triggers tax-authority verification and later tax-code suspension.

Fourth, electronic filing and digital signatures. Online filing requires a business registration account and the legal representative’s public digital signature. Investors without a Vietnamese digital signature must authorise a local filer — and a foreigner’s power of attorney needs consular legalisation, adding another time loop.

How to get the dossier through on the first filing

Search the enterprise name on the National Business Registration Portal before signing anything — it is free and takes minutes. Finalise business line codes to match the actual business activity, cross-checked against foreign investors’ market-access conditions sector by sector; when in doubt, register a narrow and accurate code rather than a broad “safe” one. Prepare a notarised office-lease contract with the lessor’s ownership documents. If filing online, arrange the digital signature and the legalised power of attorney early — not on filing day.

Frequently asked questions

Does the Business Registration Office issue the Investment Registration Certificate (IRC)?
No. It issues only the Enterprise Registration Certificate (ERC). The IRC is issued by the Industrial Park Management Board (in-zone projects) or the Department of Finance (off-zone projects) under Law No. 143/2025/QH15 on Investment.

Does the ERC come with a tax code?
Yes. The tax code is issued together with the Enterprise Registration Certificate through the one-stop inter-agency mechanism between the business registration authority and the tax authority — the enterprise code doubles as the enterprise’s tax code.

Is registering many business lines a problem?
The law does not limit the number of business lines, but each must reflect the actual business activity. Conditional business lines may only be operated once their conditions are satisfied; registering conditional lines without meeting the conditions stalls the sub-licence stage.

How long does it take to change the company name or head-office address after the ERC?
Changes to registered contents follow the same 03-working-day timeline from receipt of a valid dossier (Decree No. 168/2025/ND-CP). Where an address change shifts the managing tax authority, the enterprise must complete tax procedures before registering the change.
