Foreign-invested enterprises must publicize information on their establishment and operations like any other Vietnamese enterprise (Article 8, Law on Enterprises 2020) — there is no separate disclosure regime for FDI. Core obligations: publish enterprise registration contents (at establishment and upon each change) on the National Enterprise Registration Portal; ensure truthfulness, accuracy, and timely corrections; and comply with reporting duties to regulators.

  • Law on Enterprises 59/2020/QH14 (amended by Law 76/2025/QH15, effective 01/7/2025; consolidated document 67/VBHN-VPQH 2025): Article 8 (clauses 2, 3).
  • Decree 168/2025/ND-CP on enterprise registration (effective 01/7/2025): publication of registration contents.
  • Note: Decree 168/2025 has been amended and supplemented by Decree 296/2026/ND-CP (effective 23/7/2026) — banning nominee capital contributions and adding e-authentication rules and the 25% beneficial-owner criterion; check the consolidated text before filing.

  • Law on Investment 2025 No. 143/2025/QH15 (effective 01/3/2026): Article 47 — investment project reporting.

1. Publicizing enterprise registration information

Under Article 8.2, enterprises must “fully and promptly fulfill obligations on enterprise registration, registration of changes, and publicize information on establishment and operations“. In practice:

  • At establishment and upon each change (name, head office address, charter capital, legal representative, business lines, members/shareholders, beneficial owners…), registration contents are published on the National Enterprise Registration Portal;
  • New from 2025: beneficial owner information must be declared and updated upon change (Law 76/2025/QH15);
  • Inaccurate or incomplete declared/reported information must be promptly amended (Article 8.3).

2. Reporting to regulators

  • Project reports: periodic reports on project implementation to the investment registration authority (Law on Investment 2025, Article 47);
  • Financial statements and audits: FDI enterprises are subject to mandatory audit — audit reports go to tax, statistics, and regulatory authorities;
  • Tax, labor, insurance: declarations and reports under sectoral laws.

3. Key distinction: not “public disclosure”

An ordinary FDI enterprise is not required to publish its financial statements to the public (on its website or in the media). Broad financial disclosure applies only to public companies, credit institutions, insurers, etc. under sectoral laws (Securities Law, Law on Credit Institutions). For ordinary FDI enterprises, audited financial statements are filed with competent state authorities, not released publicly.

4. Sanctions

  • Dishonest declarations, failure to publish, or late publication → administrative penalties;
  • Prolonged inaccuracies harm credit standing, borrowing capacity, and relations with partners and regulators.
