Short-Term Foreign Experts: Contractor Tax

A foreign expert coming to Vietnam for three weeks of installation and training creates two different tax stories at once: the service fee paid to the sending company abroad, and the expert own personal income. Merging these two stories into a single withholding is the most common structural error in short-term expert contracts. This article separates the two layers and shows where a tax treaty can intervene.

Legal Basis

  • Corporate layer: service income of a foreign contractor in Vietnam bears contractor tax — the VAT part under Circular 103/2014/TT-BTC, the CIT part under Law 67/2025/QH15, Decree 320/2025/ND-CP and Circular 20/2026/TT-BTC at the revenue ratio for services, withheld by the Vietnamese side on payment.
  • Personal layer: an expert paid separately, or paid abroad but for work in Vietnam, must be tested for personal income tax by residency status and presence period.
  • Double tax treaties: the independent services and employment articles can exempt or limit tax for short-term experts where presence duration, payer identity and permanent establishment conditions are met — with a residence certificate from the partner country.
  • Service PE risk: prolonged or repeated presence of expert teams can create a permanent establishment for the foreign company, changing the whole tax mechanism from withholding to registration and declaration.

Analysis in Practice

The first layer follows the service contract. If the Vietnamese company contracts with the foreign company that sends experts over, the payment is service revenue of a foreign contractor: the Vietnamese company withholds contractor tax before remitting, regardless of how long the experts stay. Short duration is not an exemption condition for this layer — relief, if any, comes only from the treaty at the business profits level and requires the treaty application notification procedure.

The second layer follows the person. If the expert receives separate remuneration — from the Vietnamese side, or from the sending company but charged into the Vietnam side costs — that income must be tested for PIT. For an expert resident in a treaty country, presence below the prescribed day threshold with remuneration not borne by a Vietnamese establishment can qualify for exemption under the employment article; in practice many cases fail the second condition because the expert cost is recharged into the Vietnam service contract price.

The two layers meet in the file. A complete expert file holds the service contract separating service value from personnel costs, the assignment decision, a day-by-day presence log, a residence certificate if treaty relief is claimed, and withholding evidence per layer. Where this file is incomplete, the authority tends to apply the less favourable layer to the unproven part — usually withholding on the entire contract value.

Recommended Actions

  • Split the expert contract into two clear layers: the foreign organisation service value and the expert personal remuneration if separately paid.
  • Track actual presence days per expert, serving both treaty analysis and service PE warning.
  • Prepare the residence certificate and treaty application file before payment if relief is expected.
  • Withhold and declare each tax layer separately, archiving evidence per expert and per assignment trip.

Frequently Asked Questions

An expert comes for only 10 days — is contractor tax still withheld?

At the corporate layer, yes: contractor tax on the foreign company service revenue does not depend on how many days the expert stays. Presence days matter only at the personal layer and in treaty analysis; treaty relief requires a residence certificate file and the notification procedure.

The parent pays the expert salary — can Vietnam still tax the PIT?

It can, depending on treaty conditions: if the expert presence in Vietnam exceeds the day threshold, or the salary cost is borne directly or indirectly by the Vietnamese establishment through the contract price, taxing rights sit with Vietnam. Who presses the payment button is not decisive; who bears the cost is.

Can rotating expert teams create a permanent establishment?

There is a risk: treaties and law look at the foreign enterprise total service activity duration in Vietnam, not at each individual separately. Rotating trips for the same project extending past the time threshold can create a service PE and force a mechanism change.

If contractor tax is withheld, must PIT also be withheld for the expert?

The layers are independent: contractor tax falls on the organisation revenue, PIT on the individual income if such income exists and is taxable in Vietnam. Where the entire value sits in the corporate contract and the expert receives nothing separately, the personal layer usually creates no separate withholding.
