Enterprise Registration Change Checklist 2026: Dossier, Deadlines, New Forms
Renaming the company, moving the head office, increasing capital, replacing the legal representative — almost every enterprise changes its enterprise registration at some point. It sounds simple, but many dossiers are returned for using outdated forms, missing the 10-day deadline, or forgetting "post-change" work (seals, invoices, banks…).
This checklist reflects the newest 2026 framework: the Law on Enterprises 2020, Decree 168/2025/ND-CP, and especially Circular 121/2026/TT-BTC with new forms effective from 21/8/2026.

12-step checklist
- [ ] Step 1. List every change (name, address, capital, members/shareholders, representative, business lines…)
- [ ] Step 2. Check each against Article 31 of the Law on Enterprises 2020 — which require registration
- [ ] Step 3. Count the 10 days from the date of change (decision/share transfer agreement…)
- [ ] Step 4. Prepare a separate dossier per change type (see section 3)
- [ ] Step 5. Download the newest forms under Circular 121/2026/TT-BTC (Form 12 for registration changes) — not the replaced Circular 68/2025 forms
- [ ] Step 6. Have the dossier signed by the authorized person (legal representative or proxy)
- [ ] Step 7. File at the Business Registration Division — Department of Finance (in person/post/online)
- [ ] Step 8. Pay fees and the publication fee
- [ ] Step 9. Track the file; supplement if notified (usually within 3 working days)
- [ ] Step 10. Collect the new ERC / change confirmation
- [ ] Step 11. Publish the change on the National Business Registration Portal
- [ ] Step 12. Post-change work: seals, e-invoices, banks, digital signatures, sub-licenses, notify partners
1. Identify what is changing
Contents requiring registration when changed (Article 31, Law on Enterprises 2020):
- Enterprise name (Vietnamese, foreign-language, abbreviated);
- Head office address;
- Members of LLCs / founding shareholders of JSCs;
- Charter capital (increase/decrease);
- Legal representative;
- Business lines (notification of change).
Note: changes to the Investment Registration Certificate (e.g., FDI project scale or location changes) follow separate procedures under the Investment Law — not merged with enterprise registration changes.
2. Watch the 10-day deadline
Within 10 days from the date of change, the enterprise must register with the business registration authority. The "date of change" is typically the owner's/Board's decision date, the effective date of a transfer agreement, or the completion date of a capital increase/decrease.
Late registration may draw administrative penalties under the sanctioning decree for the planning-and-investment sector. Start the dossier as soon as the change is decided — don't wait until it's convenient.
3. Prepare the dossier per change type
Each change type has its own dossier under Decree 168/2025/ND-CP. The general frame:
| Change type | Core dossier |
|---|---|
| Enterprise name | Change notice (Form 12) + owner/Board decision |
| Head office address | As above + tax finalization when moving districts |
| Charter capital | Notice + decision + updated member/shareholder list; capital reduction additionally needs financial statements and debt-payment commitments |
| Members/shareholders | Transfer agreement + notice + updated list |
| Legal representative | Notice + appointment/dismissal decision + new representative's personal documents |
| Business lines | Notice of addition/change of business lines |
Charter capital reduction is the hardest: permitted only after 2 years of continuous operation (for LLCs) and the enterprise must ensure all due debts can be paid — the authority scrutinizes it closely.
4. Use the new Circular 121/2026 forms
Circular 121/2026/TT-BTC (issued 21/8/2026, effective on issuance) replaces 9 forms of Circular 68/2025/TT-BTC (forms 1–5, 10, 12, 27, 30). Of these:
- Form 12: for registration changes / change notifications / updates / corrections of enterprise registration information.
In practice, every form replacement produces a wave of returned dossiers using old forms. Download forms from the National Business Registration Portal or the Ministry of Finance website — not last year's saved files.
5. File at the Business Registration Division — Department of Finance
Since 01/7/2025 (administrative restructuring), the Business Registration Division sits under the provincial Department of Finance of the head office's location. Three filing channels:
- In person at the one-stop unit;
- By post;
- Online via the National Business Registration Portal (recommended — status is trackable).
Processing time: 3 working days from receipt of a complete, valid dossier. If invalid, the authority notifies in writing what must be amended or supplemented.
6. Track and collect results
After filing, actively track the dossier status (receipt code / online account). If an amendment notice arrives, act immediately — the 10-day registration clock is still running and delays can trigger penalties.
Result: a new ERC (recording the change) or a confirmation of enterprise registration change.
7. Publish the change
Changed registration contents must be published on the National Portal of business registration. The publication fee is paid together with the dossier. This step is mandatory — a change is only opposable to third parties once properly published.
8. Handle post-change work
Many enterprises relax after the registration step but forget the chain that follows — where trouble usually starts:
- Name/address change: re-carve seals (if any), update e-invoices, notify banks, update digital signatures/tokens;
- Representative change: update bank accounts, digital signatures, sub-licenses naming the former representative, existing authorizations;
- Capital change: update the company charter, member/shareholder register;
- General: notify partners and major clients; review ongoing contracts with information-change clauses.
