Exclusive Distribution in the UK: Terms, Targets and Termination

Signing handshake — illustrating exclusive UK distribution

Every UK buyer asks for “exclusivity” — and handing it out casually is the fastest way to lose the UK market to a lazy partner. Exclusive distribution contracts need targets, trial periods, and an exit route.

Agency vs distribution

Two models different in nature:

  • Agency: the agent never buys — only introduces and negotiates for commission; you remain the seller, bearing stock and credit risk. UK agents enjoy the Commercial Agents Regulations — termination means compensating the agent (a big entitlement!).
  • Distribution: the distributor buys your goods and resells — they bear stock risk; you control less (resale prices, customers).

Want control? Choose agency; want lightness? Choose distribution — but never confuse them when drafting.

Exclusivity: granted, but conditioned

Exclusivity means you promise not to sell to anyone else in the UK territory (or a region) — an expensive promise. In return demand:

  • Minimum purchase targets: how much they must buy yearly/quarterly — miss it and lose exclusivity (converting to non-exclusive) or face termination.
  • Trial period: exclusivity for year one — renewed only on hitting targets; never grant 5 years upfront.
  • Marketing duties: the distributor must invest in advertising, fairs, sales teams — spelled out.
  • Reporting: periodic reports on sales, stock, market feedback — transparency for your oversight.

UK competition law: the red lines

The Competition Act 1998 (CMA enforced) and the UK Vertical Block Exemption:

  • NO resale price maintenance: you must not force distributors to sell at your price — only recommended prices (RRP).
  • NO absolute territorial restraints: never fully ban cross-selling (a Scottish customer buying from the London distributor is their right).
  • Allowed: banning active sales into another distributor’s exclusive territory, store standards, selective distribution for premium goods.

Breach = fines up to 10% of global revenue + the offending contract parts void.

Termination: build the exit from day one

  • Term + renewal: 1–3 year contracts, renewal conditional on targets — never unconditional auto-renewal.
  • Early termination: on breach (missed targets, fake goods, brand harm) — immediate termination rights + reasonable cure periods.
  • Post-termination: recover stock (buy back or return?), remove signage, ban trademark use, protect customer lists.
  • Agency: terminating UK agents means compensation under the Commercial Agents Regulations — price it in when choosing agency.

IP and brand

Distribution contracts must lock down IP: distributors must not register your UK marks (see EXP-3649); trademark licences last only for the contract term; display standards (premium goods: selective distribution); bans on fakes/grey goods bypassing you. Marketing using your brand needs prior approval.

Risks and notes

‘Lazy partner’ risk: granting 5-year exclusivity without targets = gifting the UK market to a stock-sitter — targets + 1-year trials are mandatory. Competition risk: fixing resale prices in contracts breaches the Competition Act — use RRP only. Agency risk: choosing agency unaware of termination compensation — cost it first. Payment risk: distributors running debts — credit insurance + exposure caps.

Frequently asked questions

How do agency and distribution differ?

Agents never buy — they introduce/negotiate for commission, you bear stock risk; distributors buy and resell — they bear risk, you control less. UK agents must be compensated on termination (Commercial Agents Regulations).

What conditions should UK exclusivity carry?

Minimum purchase targets (lose exclusivity if missed), 1-year trial, marketing investment duties, periodic reporting — never unconditional long-term exclusivity.

What does UK competition law ban in distribution?

No resale price maintenance (RRP only), no absolute territorial restraints; active-sales bans into others’ territories and selective distribution are allowed; fines up to 10% of global revenue.

What does termination need?

1–3 year terms + target-based renewal, immediate termination on breach (with cure periods), stock recovery + signage removal + trademark bans post-termination; agency termination needs compensation.
