Tens of billions paid abroad for services, royalties, interest — with not a dong of contractor tax withheld. On audit, the Vietnamese company covers it all.
Who must withhold contractor tax?
Vietnamese organizations/individuals (or foreign organizations with Vietnamese presence) paying foreign contractors — services, royalties, interest, fees… — must withhold, declare and remit contractor tax (VAT + CIT/PIT at source). New framework since 12 March 2026: CIT Law 67/2025/QH15 + Decree 320/2025/ND-CP + Circular 20/2026/TT-BTC (previously Circular 103/2014/TT-BTC). The duty arises at payment time — not year-end finalization.
How are omissions penalized?
The Vietnamese party is liable in lieu: forgotten withholding triggers back tax on the full withholdable amount (computed on total payments), administrative fines, and late interest from the withholding due date. For “net” contracts (Vietnamese side bearing the contractor’s tax), payments must be grossed up — the reassessed tax grows larger. Worse: the contractor has left, so the company cannot recover the tax from them — it absorbs the loss.
Review and remediation
- Review all outbound payments in the audit window (usually 5 years): services, royalties, interest, management fees, rentals…
- Reconcile against filed contractor-tax returns — supplement anything undeclared now.
- Check tax treaties: some items are exempt/reduced (treaty procedures required).
- Fix contract templates: spell out gross/net pricing, tax-bearing party, and the foreign contractor’s documentation duties.
Frequently Asked Questions
Contractor already taxed at home — still withhold in Vietnam?
Yes. Vietnamese contractor-tax duty arises independently — home-country tax does not replace Vietnamese withholding (unless a treaty says otherwise and procedures are done).
Payments via a third-country intermediary — still withhold?
Yes, if in substance paying a foreign contractor with Vietnam-sourced income. Authorities follow transaction substance, not cash routing.
Multi-year omissions — how do limitation periods run?
Administrative fine limitations and back-tax periods follow Tax Administration Law 108/2025/QH15. Voluntary supplementation before audit mitigates.
