Guaranteeing Loans: Signing Means Paying & 5 Self-Protections

Loan guarantees

“Just sign as guarantor, it’s only paperwork” — the sentence behind countless people inheriting friends’ debts. Guaranteeing a loan isn’t “signing for show”: when the borrower defaults, you pay instead — with your own assets.

What guarantee means (Art. 335, 2015 Civil Code)

  • Guarantee is a third party’s commitment to the lender to perform the borrower’s obligation if the borrower fails to perform properly at maturity.
  • Guarantees must be written — as loan-contract clauses or standalone documents.
  • Distinguish: guarantee (paying for the borrower) vs mortgage/pledge (securing your own loan with assets).

4 risks of standing guarantee

  • 1. Paying everything: principal + interest + penalties + costs — within the guaranteed scope (unlimited if unstated = the whole obligation).
  • 2. The lender coming to YOU first: with joint guarantees, lenders may claim against guarantors at maturity without pursuing borrowers first.
  • 3. No exit when friendships end: guarantee obligations survive until the loan is repaid — not cancellable by word of mouth.
  • 4. Your credit hit: guarantees can appear on credit records, hurting your own borrowing capacity.

If you must guarantee: 5 self-protections

  • 1. Cap the scope: state the maximum amount and period in writing.
  • 2. Conditional guarantee: pay only after the lender has pursued the borrower and enforcement fell short — write it in.
  • 3. Demand counter-security: the borrower mortgages assets to you (counter-guarantee).
  • 4. Track the loan: copy the loan contract and schedule — monitor the borrower’s payments.
  • 5. Recourse rights: after paying, you may claim reimbursement from the borrower (civil suit if needed).

FAQs

Signed — can I withdraw?

Only with the lender’s written consent (or an accepted substitute guarantor). Unilateral “I quit” has no effect.

Guaranteeing a foreigner’s Vietnamese loan?

Allowed — no legal bar on Vietnamese guaranteeing foreigners. But weigh the risk: recovery is very hard once borrowers leave.

Lender didn’t notify me of the default?

Your right: demand notification — write the lender’s information duty into the guarantee from the start.
