1. Why healthcare and education attract foreign investors
- Real, durable demand: ~100 million people, expanding middle class, steadily rising spend on private healthcare and international education.
- Shortage of quality supply: international hospitals and international/bilingual schools are perpetually full in Hanoi and HCMC.
- Encouraging policy: healthcare and education are state-encouraged sectors, potentially eligible for tax and land incentives depending on project and location.
2. Legal framework: what is allowed
Foreign investors may invest in Vietnamese healthcare and education — but these are conditional investment sectors:
- May establish foreign-invested medical institutions (hospitals, clinics) meeting sectoral conditions.
- May establish foreign-invested educational institutions (kindergartens, schools, universities, centres…) meeting sectoral conditions.
- May invest in real estate serving the project (building hospitals/schools) and operate real estate within the project scope meeting real-estate business conditions.
3. Sector-specific investment conditions
3.1. Healthcare
- ☐ Minimum capital per sectoral rules for each type (hospital, general/specialist clinic).
- ☐ Facilities and equipment meeting standards.
- ☐ Personnel: professional heads with practice certificates, meeting qualification and experience conditions.
- ☐ Medical operation licence — the decisive "ticket"; many projects stall here.
3.2. Education
- ☐ Capital and facilities per school type (kindergarten, K-12, university…).
- ☐ Approved curricula; qualified teachers.
- ☐ Education operation licence / establishment decision for foreign-invested institutions.
4. Land for projects
- Main channel: land leased by the State for healthcare/education projects under investment approval — possibly exempt from or enjoying reduced land rent if incentive-eligible.
- Leasing ready premises: lease buildings or space to run hospitals/schools — fast, low land risk.
- Not allowed: buying subdivided plots for speculation (see T-440).
5. Real-estate business models within projects
Inside hospital/school campuses, investors can operate ancillary activities:
- Space leasing: pharmacies, canteens, convenience stores, offices…
- Dormitories and accommodation for specialists and students.
- Conference and training centres.
Note: these must be consistent with the approved project purpose; real-estate leasing must meet real-estate business conditions.
6. Risks and management
- Stalled sectoral licensing: land and capital secured but no operation licence → mothballed project. Manage: vet sectoral conditions before committing capital and land.
- Changing incentive policies: tax and land incentives may change. Manage: lock incentives in writing in the investment approval; build financial models not fully incentive-dependent.
- Local partner risk: JVs with Vietnamese partners lacking sectoral capacity. Manage: thorough partner DD; governance and control terms in the JV contract.
- Operational compliance: healthcare and education face frequent sectoral inspections. Manage: internal compliance systems, continuous regulatory updates.
7. Implementation roadmap
- Feasibility study: market, location, model.
- Legal vetting: sectoral conditions, land, incentives.
- Investment approval + IRC: file, seek policy approval (if required).
- Land: lease land / lease premises.
- Sectoral licences: medical / education operation licences.
- Build and operate: construction, recruitment, launch.
