A precision engineering enterprise in Dong Nai, capitalised with USD 4 million by a German investor, is planning two outbound transfers in 2027 that will happen almost side by side. The first returns USD 1.2 million of investment principal as the enterprise reduces its charter capital, while the second sends VND 7.9 billion of after-tax profit for 2026 to the same investor in Germany. Both transfers travel through the same ICA and land in the same receiving account, yet if the finance team merges them into one payment order supported by one common file, the bank will ask for the transaction to be split and rebuilt from scratch. This article explains why principal and profit are two flows of different nature, different documents, different timing and different tax consequences, even though they so often appear together inside an exit transaction.
Two flows through the Dong Nai ICA under one circular
Since 18 August 2026, Circular 38/2026/TT-NHNN has supplied the foreign exchange rules for direct investment, taking over from Circular 06/2019/TT-NHNN and renaming the dedicated capital account from DICA to ICA. Within that framework, remitting investment principal means returning capital the investor has contributed, triggered when the enterprise reduces capital, when the investor transfers its stake to another party, or when the enterprise dissolves and the liquidation process has fully closed. The nature of this flow is capital recovery, so when the investor receives back exactly the principal originally contributed, the amount is in principle not taxable income in Vietnam. A profit remittance is an entirely different flow: it is the after-tax surplus generated by trading activity, and it may only move after the financial year has been finalized together with the related financial obligations. Because the two flows are opposite in nature, the bank examines them through two different lenses at the very same ICA.
The contrast shows most clearly in three aspects the Dong Nai team must master before drafting any order. On timing, principal can only move once the capital-changing event is legally complete, whereas profit can only move after the finalization milestone of the year in which it arose. On documents, principal travels with contribution records and capital change instruments, while profit travels with audit reports and finalization evidence. On bank scrutiny, principal is reconciled against registered and actually contributed capital, while profit is reconciled against earnings confirmed by audit and finalization.
Conditions and papers for returning the USD 1.2 million of principal
Step 1: The members council approves the reduction of charter capital from USD 4 million to USD 2.8 million, identifying the USD 1.2 million explicitly as principal returned to the German investor rather than a disguised profit distribution.
Step 2: The enterprise completes the adjustment of its investment registration and enterprise registration to the new capital level, because a principal return order only has a foundation once the capital change is recorded in the legal file.
Step 3: The finance team gathers the original contribution evidence, including confirmation that the full USD 4 million was contributed through the former capital account and the related investment registrations, proving the returned amount stays within capital actually paid in.
Step 4: The enterprise reviews the obligations attached to a capital reduction, ensuring the return does not prejudice existing creditors and does not breach any capital condition in a sector licence where one applies.
Step 5: The principal return order is prepared separately from the profit transfer order, routed through the ICA with its own capital file, and recorded by the bank as a standalone capital repatriation transaction.
Scenario: a capital reduction and a dividend falling in the same quarter
Suppose both Dong Nai transfers fall inside the second quarter of 2027, with the USD 1.2 million principal return planned for April and the VND 7.9 billion profit distribution planned for May, after the 2026 finalization closes. If accounting merges the two amounts into a single April order backed by the contribution file, the bank will block the VND 7.9 billion profit portion because its finalization condition may not yet be complete in April, and the whole order loses the clean classification between capital and earnings. When the two orders are kept apart with separate files and separate value dates instead, the principal return passes through the ICA smoothly on the capital reduction file, and the profit distribution follows on the strength of the completed audit and finalization. The scenario shows that inside one exit transaction, documentary separation is precisely what keeps the money moving.
Mixing principal with profit: tax exposure and bank exposure
The first risk of blending the two flows sits on the tax side: profit dressed up as principal may be recharacterised by the tax authority upon inspection, leaving the enterprise to deal with income that left the country without passing through the proper finalization process. The second risk sits with the bank, where an unclassifiable transfer order is suspended with a request to split the file, derailing the entire exit timetable promised to the investor in Germany. The third risk is long term in character: the capital record of the enterprise becomes inconsistent after the reduction, so later capital transactions, including an eventual final dissolution, must re-explain the true remaining principal from the beginning. None of the three risks originates in the amounts themselves; all three originate in a file that fails to reflect the true nature of each flow.
The action conclusion for the Dong Nai enterprise is to run principal and profit as two independent work packages at all times: the principal return follows the contribution file and the capital reduction decision, while the profit transfer follows the audit report and the finalization of the profit year. An investor holding that separation discipline receives both the USD 1.2 million of principal and the VND 7.9 billion of profit in Germany through the same ICA, with neither transfer detained by the bank over a classification defect.
