Renewing Residence Cards While the Company Is Suspended or Has Moved Its Head Office: Handling Experts’ Residence Files

A foreign expert temporary residence card in Vietnam never stands alone: it is bolted to the sponsoring enterprise, to the work permit or the written confirmation of work permit exemption, and to the registered head office address of that enterprise. The moment a company steps into a suspension of operations, or moves its head office to another district or province, the expert residence file faces three linked questions: does the company sponsorship status survive intact, does the expert card category still rest on a valid ground, and where and under which category must the renewal be filed. This article answers those three questions under the Law on Entry, Exit, Transit and Residence of Foreigners in Vietnam 47/2014/QH13, as amended by Law 51/2019/QH14 and Law 23/2023/QH15, together with the current work permit regime in Decree 219/2025/ND-CP.

The legal base of the card: sponsorship, category symbols in Article 36, procedure in Article 37

Article 36 of Law 47/2014/QH13 lists the cases for temporary residence cards by category symbol: LD1 for foreigners working in Vietnam with a confirmation of work permit exemption, LD2 for those holding a work permit; DT1 to DT4 for investors by capital contribution tier; NN1 and NN2 for heads of representative offices and branches and members of foreign organisations; and DH, LS, PV and TT for study, lawyers, press and accompanying family. A residence card runs for a maximum of five years depending on category and always shorter than the remaining validity of the passport; labour-category cards track the work permit or exemption confirmation and therefore typically run in the two-year cycle of the permit itself. Article 37 governs issuance and re-issuance procedure: the sponsoring organisation files at the immigration authority of the place where its head office sits, or where an individual sponsor resides, with a written request, the sponsored person passport and the prescribed declaration form, and the immigration authority decides within the statutory period from receipt of a complete and valid file.

From that structure flows the single most important operating principle of this whole problem: the card does not renew on its own calendar, but on whether the chain of grounds beneath it still holds. The chain has four links: the sponsoring enterprise still exists and operates lawfully; the expert employment relationship or title at the enterprise still subsists; the work permit or exemption confirmation remains valid and is being renewed for the next cycle; and the declared head office and residential address information matches reality. A suspension of operations strikes the first two links directly, while a head office move strikes the last link, which is why two situations that look like corporate housekeeping become the expert residence problem.

Scenario one: the company notifies a suspension of operations — what happens to the expert file

A suspension of operations under enterprise law is a state in which the company still exists as a legal person but stops trading for a notified period. For the expert residence file, the practical consequences arrive through the work permit first: under Decree 219/2025/ND-CP a work permit is revoked or expires in cases tied to the enterprise ceasing operations or the foreign employee no longer working for the sponsoring employer; where the enterprise merely suspends, the deciding point is whether the labour contract and employment relationship with the expert are maintained during the suspension, and whether the enterprise keeps performing the sponsorship undertakings it gave. If the enterprise terminates the expert contract on suspension, the ground of an LD2 card collapses with it, and the expert cannot renew on the foundation of an employment relationship that has ended; if the relationship is maintained through a lawful contract suspension arrangement and the enterprise keeps a minimum legal-person operation running, renewal still turns on the immigration authority assessment of the concrete supporting file, with no automatic entitlement.

The safe route for this scenario has four steps in sequence. First, the enterprise determines clearly whether the coming state is a fixed-term suspension or a path toward dissolution, because the two directions lead to two different residence endings. Second, it schedules the remaining validity of every expert work permit and residence card, so anyone expiring inside the suspension window is handled before the administrative team is cut down to the point where nobody remains who can sign sponsorship files. Third, where employment ends, the enterprise and the expert proactively arrange a category change or a timely departure instead of letting the card expire groundless, because overstaying draws an administrative fine and an immigration record entry that directly affects future sponsorship approvals. Fourth, where the expert moves to a new enterprise, that enterprise must rebuild its own ground chain from zero, a fresh work permit and fresh sponsorship; the old card under the old company cannot be transferred or used onward.

Scenario two: a head office address change — re-issuance, or just an information update

Moving a head office within the same province or city usually changes neither the competent immigration authority nor the sponsorship ground, but the enterprise must still complete its enterprise registration change and update its sponsorship information with the immigration authority, while the expert re-declares temporary residence at the new home address if the dwelling moves as well. Relocation to another province or city is the heavier case: immigration competence over the sponsorship file follows the new territory, and a renewal filed after the move goes to the immigration authority of the new head office location, following the territorial logic of Article 37 of Law 47/2014/QH13. A card still in validity does not become void merely because the company changed address, since the card is the individual residence document issued on grounds that were correct when granted; but at renewal the whole file is re-examined against current enterprise information, and any mismatch among the enterprise registration certificate, the declared residence address and the sponsorship file must be cleared before filing day.

One procedural layer is forgotten in both scenarios: the expert own temporary residence declaration. A foreigner residing in Vietnam must declare temporary residence through the accommodation establishment or directly with the commune-level police of the place of residence, and when a head office move drags the expert home address along, the duty to declare at the new address arises on moving in, independently of the provincial immigration card procedure. Enterprises housing experts in company flats or dormitories must watch this link hardest, because moving the company and the home in one wave spawns two parallel updates at two different authorities, and the commonest failure is not a refused renewal but an administrative fine for late residence declaration when an inspection cross-checks the data.

Which card category can the expert hold in the transition, and how to keep residence continuous

While the enterprise is suspended and the expert still wishes to stay in Vietnam, residence options must be built on a real, independent ground, not on stretching a labour category whose foundation has gone. The directions usually examined are a move to an investor category where the expert is simultaneously a capital-contributing investor in another qualifying enterprise, a family category where a spouse or relative lawfully resident can sponsor an accompanying member, or a suitable visa for a short stay while work and family affairs are rearranged. Every direction demands its own evidence file and must be completed before the current card expires, because the immigration system has no bridging renewal for a card whose ground has terminated. For a key expert whom the enterprise expects back after suspension, the most workable plan is usually backward scheduling: fix the restart date, subtract the time for a fresh work permit plus card renewal to find when the expert must be present, and use lawful short-term visas for the in-and-out trips that serve the restart in the gap.

The final housekeeping layer is data synchronisation across authorities. Work permit information is issued by the labour authority, sponsorship and card data sit with immigration, and enterprise registration data sits with the business registration authority: the three databases do not repair each other when the company changes name, address or legal representative. The enterprise should keep one residence control sheet for all foreign experts, recording card category, card expiry, work permit expiry and the matching enterprise status, reviewed at least quarterly and immediately upon any suspension or relocation decision. That simple control sheet is what separates an enterprise that manages residence files proactively from one that discovers the problem only when an expert is already standing in front of an overstay risk.

Frequently Asked Questions

How is the residence file of a foreign expert handled when the sponsoring company suspends operations and the residence card needs renewal?

Whether the card can be renewed depends on the chain of grounds beneath it: the sponsoring enterprise, the employment relationship and the work permit under Decree 219/2025/ND-CP. If the enterprise suspends and terminates the expert contract, the LD2 card ground disappears and the expert must switch to an independent ground (investor, family) or depart on time. The enterprise should map every card expiry before shrinking its administrative team, to avoid an overstay that draws a fine and harms future sponsorships.

Must the temporary residence card of a foreigner be re-issued when the company changes its head office address?

A card still in validity does not lapse automatically when the company changes address, because it was issued on grounds correct at grant. The enterprise must update its enterprise registration and sponsorship information; if the head office moves to another province, the renewal is filed with the immigration authority of the new location under Article 37 of Law 47/2014/QH13. An expert whose home moves must re-declare temporary residence at the new address with commune-level police, independently of the card file.

Which temporary residence card category does a foreign expert hold while the enterprise is suspended?

There is no bridging card category for a suspended enterprise. The expert can stay only on a real ground: LD1 or LD2 while the employment relationship and work permit remain lawfully maintained; an investor category if a qualifying investor in another enterprise; a family category when accompanying a lawfully resident relative; or a suitable short-term visa during the transition. Any switch must be completed before the current card expires.
