The project-structuring question: is my sector subject to “market access restrictions” for foreign investors — and if so, is it fully closed or open with conditions? Confusing the two can cost months preparing a dossier for a project that will never be approved.
Group 1: not yet accessible — 17 “closed-door” sectors
These are sectors foreign investors may not enter: state-monopoly goods/services in trade; press and news gathering; fishing/seafood harvesting; investigation and security services; judicial administration services (forensic appraisal, bailiffs, asset auctions, notarization, trustees); sending workers abroad; cemetery infrastructure for land-use-right transfer; household waste collection; public opinion polling; blasting; weapons, explosives, support tools; used-vessel import/dismantling; public postal services; goods transshipment; temporary import/re-export; export/import/distribution rights for restricted goods; acquiring public assets at armed-force units. Investment registrars will reject projects in this group — there is no lawful workaround.
Group 2: conditional access — “open but locked”
Most “sensitive” sectors sit here: investment allowed subject to conditions on ownership ratios (e.g., banking, securities), investment form (mandatory joint venture vs 100% foreign-owned), financial capacity/experience, or Vietnamese partners. Specific conditions follow Vietnam’s international treaties (WTO, CPTPP, EVFTA…) and specialized laws — and may differ by investor nationality (FTA preferences).
Structuring strategy for investors
(1) Screen before structuring: map your sector against both groups before choosing 100% foreign-owned vs joint venture; (2) leverage FTAs: EU and CPTPP investors may enjoy better terms than general WTO commitments — nationality is a strategic variable; (3) joint ventures unlock many Group 2 sectors: the right Vietnamese partner satisfies legal conditions and opens relationships and markets; (4) for Group 1 sectors: don’t force it — pivot to an adjacent lawful sector.
